These Terms and Conditions ("Terms") govern your access to and use of the services provided by EQmeditation ("we," "us," or "our"), including our websites, mobile applications, and any other software or services provided (collectively, the "Services"). By accessing or using the Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must not use the Services. These Terms are governed by and construed in accordance with Dutch law.

‍User Accounts
To create an account and use the Services, you must be at least 18 years old, or have the consent of your parent or legal guardian. By using the Services, you represent and warrant that you meet this eligibility requirement. You may be required to create an account to access certain features of the Services. You agree to provide accurate, complete, and up-to-date information during registration and to update such information to keep it accurate, complete, and up-to-date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to a violation of these Terms.We reserve the right to change our subscription fees and charges at any time, upon notice to you. Any such change will apply prospectively to the next billing cycle. If you do not agree to the new fees or charges, you may cancel your subscription in accordance with the cancellation policy below. You may cancel your subscription at any time by following the instructions in your account settings. Upon cancellation, you will continue to have access to the Services until the end of your current billing period. No refunds will be issued for the remainder of the billing cycle. We may also terminate your subscription at our discretion, and in such cases, you will receive a pro-rata refund for the unused portion of your subscription.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for personal, non-commercial purposes. You agree not to engage in any prohibited activities, including using the Services for any commercial purpose without our express written consent; copying, modifying, or distributing content from the Services without our permission; attempting to interfere with the proper functioning of the Services; circumventing any technological measures we use to protect the Services; or engaging in any unlawful activities through the Services.If the Services include any community features such as forums, comments, or group sessions, you agree to engage respectfully with others. Harassment, abusive behavior, or any conduct that is harmful to other users is strictly prohibited. We reserve the right to remove content or terminate accounts that violate these guidelines. The Services, including all content, information, and materials, are designed to promote mental well-being but are not intended to be a substitute for professional medical advice, diagnosis, or treatment. All content, including informational materials, articles, and podcasts, is provided for general informational purposes only. You agree that your use of the Services and reliance on any content provided is entirely at your own risk. We make no guarantees regarding the accuracy, completeness, or usefulness of any content.We do not assume any liability for any mental health issues, self-harm, or other adverse effects that may result from the use of our Services. Users are solely responsible for their mental health and well-being. The Services are intended to support mental well-being but are not a substitute for professional therapy or treatment. We make no guarantees or warranties regarding the effectiveness of the Services or any specific results from using them. The Services are provided "as is" and without any guarantees of improvement in mental health, emotional intelligence, or any other outcomes.

‍Subscription and Payments
We offer various subscription plans that provide access to premium content. By subscribing, you agree to pay the fees associated with your selected plan. Your subscription will automatically renew at the end of each billing cycle unless you cancel it at least 24 hours before the end of the current cycle. You authorize us to charge your payment method for the renewal. Prices for subscription plans may vary based on location, and actual charges may be converted to your local currency.We may offer free trials for certain features or subscription plans. If you do not cancel before the end of the free trial period, your account will be charged according to the terms of the trial offer. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing cycle, and no refunds will be provided for the unused portion of a subscription. In certain circumstances, such as fraudulent transactions, we may consider a refund at our discretion. We may use third-party payment processors to handle payments. Your transactions with these payment processors are subject to their terms of service and privacy policies.

All content available on or through the Services, including but not limited to text, graphics, logos, images, and software, is the property of EQmeditation or its licensors and is protected by copyright, trademark, and other intellectual property laws. By submitting content to the Services, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in connection with the operation of the Services.We reserve the right to modify, remove, or restrict access to any content provided through the Services at our discretion, without notice. This includes updating content to reflect new information or removing content that is outdated. We respect the intellectual property rights of others. If you choose to connect the Services with third-party services, such as Apple Health or Google Fit, you acknowledge that any data shared with or received from such third-party services is subject to their respective terms of service and privacy policies.

‍Limitation of Liability
The Services are provided "as is" and "as available," without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. To the fullest extent permitted by law, EQmeditation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content. In no event shall EQmeditation's aggregate liability exceed the amount you paid EQmeditation for the Services during the twelve (12) months preceding the claim.

‍Indemnification
You agree to indemnify, defend, and hold harmless EQmeditation, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with (i) your access to or use of the Services; (ii) your violation of these Terms; (iii) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

‍Governing Law and Dispute Resolution
These Terms and any action related thereto will be governed by and construed in accordance with Dutch law, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Amsterdam, and you and EQmeditation agree to submit to the personal jurisdiction of such courts.

We reserve the right to modify, suspend, or discontinue the Services at any time, with or without notice to you. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services. We may update these Terms from time to time. If we make significant changes, we will notify you either by email, through the Services, or by updating the "Last Updated" date at the top of these Terms. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

‍Miscellaneous
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the other provisions of these Terms shall remain in full force and effect. These Terms, along with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and EQmeditation with respect to the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and EQmeditation. No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.You may not assign or transfer these Terms, by operation of law or otherwise, without EQmeditation's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. EQmeditation may assign or transfer these Terms, at its sole discretion, without restriction. Any notices or other communications provided by EQmeditation under these Terms, including those regarding modifications to these Terms, will be given via email or by posting to the Services. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted. EQmeditation shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond EQmeditation's reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation (including "line-noise" interference).
